MB/LAW is pleased to announce the successful completion of arrangement approval proceedings for an entrepreneur in the transport sector specialising in domestic road haulage.

The entrepreneur had been operating a sole proprietorship since 2018, based in Zwierzyn. The business provided road transport services within Poland, and the main clients were forwarding companies. One employee was employed full-time.

Due to the COVID-19 pandemic (restrictions on business activity, frequent legal changes, unpredictability of market conditions, significant decline in demand for transport services, substantial increase in fuel prices, difficulties in planning routes), the outbreak of the war in Ukraine in early 2022 (market panic, further strong increases in fuel prices without corresponding increases in freight rates, disproportionate rise in operating costs), termination of the contract by a key client (loss of a substantial share of orders and revenues, need to reduce staff), tax changes under the “Polish Deal” (significant increase in the health insurance contribution, major changes to deduction rules, higher liabilities to ZUS and the Tax Office), and loss of an additional income source (closure of the spouse’s business position due to her financial difficulties) – the entrepreneur fell into financial distress.

Thanks to the efforts of the arrangement supervisor – attorney-at-law Michał Burek, LL.M., qualified restructuring advisor, licence no. 1665 – and the support team, it was possible to reach agreements with creditors, conduct the voting process, and adopt the arrangement. The arrangement was confirmed by a decision of the District Court in Gorzów Wielkopolski dated 4 June 2025.

As a result:

  • Zakład Ubezpieczeń Społecznych (Group 1) – full repayment of the claim (principal and interest accrued until the arrangement date and from the arrangement date until payment) in 48 monthly instalments (PLN 120 per month, final instalment balancing), with a 4-month grace period,
  • other creditors (Group 2) – full remission of interest and all ancillary claims, no interest accrual from the date the arrangement becomes final, repayment of 100% of principal in 48 equal monthly instalments with a 4-month grace period,
  • bank creditors not classified under Group 4 (Group 3) – remission of interest and ancillary costs, no interest accrual from the date the arrangement becomes final, repayment of 100% of principal in 72 equal monthly instalments with a 3-month grace period,
  • bank creditor with claims ≥ PLN 100,000 (Group 4, joint debtor together with spouse) – repayment of 100% of principal, interest and fees in 84 equal monthly instalments with variable interest (4% margin + WIBOR 3M) from the date the arrangement becomes final; 2-month grace period; joint and several liability of co-debtors,
  • private creditor test positive – creditor satisfaction under the arrangement is significantly higher than in bankruptcy proceedings (estimated bankruptcy costs: PLN 131,810.75; value of assets: PLN 71,648.92 – risk of dismissal of the bankruptcy petition under Article 13(2) of the Bankruptcy Law),
  • the full-time job of the employed worker was preserved.
