MB/LAW is pleased to announce the successful completion of arrangement approval proceedings for an entrepreneur in the design sector specialising in BIM-based design and modelling of building installations (ventilation, air conditioning, sanitary and electrical systems).

The entrepreneur had been operating a limited liability company since February 2017, headquartered in Warsaw. The company provided design and modelling services for building installations – mechanical (ventilation, air conditioning, heating, cooling), sanitary (water, sanitary sewage, stormwater) and electrical (lighting, low voltage, distribution, lightning protection). Services were provided mainly on the Polish and UK markets, remotely. The target clients included installation contractors and design studios. Revenues in 2023 amounted to PLN 2,792,085.21, and in the period January–March 2024 to PLN 280,887.06. The company employed 12 staff members (total monthly salaries approx. PLN 101,637.93).

Due to the COVID-19 pandemic (disruptions in the construction and design markets), rising wage levels, high inflation, increased costs of specialist software (necessary for BIM services), growing difficulties in acquiring clients (fewer orders, significant decline in revenues), liquidity problems (inability to secure new projects), enforcement of bank accounts by a bailiff (on behalf of the Tax Office), as well as enforcement actions threatening a debt spiral – the company fell into financial distress.

Thanks to the actions of the arrangement supervisor – attorney-at-law Michał Burek, LL.M., qualified restructuring advisor, licence no. 1665 – and the support team, it was possible to reach an agreement with creditors, conduct the voting process, and adopt the arrangement. This was confirmed by a decision of the District Court for the Capital City of Warsaw dated 31 October 2024.

As a result:

  • Zakład Ubezpieczeń Społecznych (Group 1) – full repayment of the claim (principal and interest accrued up to the arrangement date and from the arrangement date until final approval) in 36 equal monthly instalments with a 3-month grace period,
  • other creditors (Group 2) – full remission of interest and other ancillary costs, including debt collection costs; repayment of 40% of principal in 60 monthly instalments (instalments 1–20 at 1% of principal, instalments 21–60 at 0.5% of principal – final instalment balancing), 2-month grace period,
  • 12 jobs within the company were preserved,
  • continuation of operations in the specialised design sector was ensured.
