MB/LAW is pleased to announce the successful completion of arrangement approval proceedings for an entrepreneur specialising in postal and courier services as well as road transport of parcels and goods in cooperation with InPost.
The entrepreneur operated a sole proprietorship since 2017 in Szymanowice. The main recipient of her services was InPost. Revenues in 2023 amounted to approximately PLN 278,044.79, and between January and March 2024 approximately PLN 58,843.94.
Causes of Financial Difficulties
Financial distress arose due to the following factors:
- termination of cooperation with the previous postal-service contractor (leading to a drop in revenues by PLN 2,000–3,000 per month),
- mandatory, unpaid training lasting one month when beginning cooperation with the new contractor (no revenue while operating costs remained high),
- sharp interest rate increases introduced by the National Bank of Poland (substantial rise in loan and credit instalments),
- tax changes under the “Polish Deal” (significant change in the principles of calculating and deducting health insurance contributions and increased liabilities to ZUS and the Tax Office).
Restructuring Process and Court Approval
Thanks to the efforts of the arrangement supervisor, attorney-at-law Michał Burek, LL.M., qualified restructuring advisor (licence no. 1665), and the support team, an agreement with creditors was reached, the voting process was completed, and the arrangement was adopted.
The arrangement was confirmed by the District Court in Legnica on 27 August 2024.
Key Terms of the Approved Arrangement
- Full remission of interest, court fees, enforcement costs, and other ancillary claims for creditors in groups 3, 4 and 5.
- The arrangement was adopted by a 66.4% majority of the voting claims (PLN 475,510.21 voting in favour vs. PLN 212,541.85 against).
- Secured creditors (secured by guarantee) included in the arrangement – repayment of 100% in 84 instalments, with interest at WIBOR 3M + 6.90% margin.
- Repayment of remaining claims spread across 60 to 120 monthly instalments, depending on the creditor class.
- The first instalment payable after a 3-month grace period, counted from the month of publication in the National Debtors Register.
- Level of creditor satisfaction significantly higher than in bankruptcy proceedings (estimated bankruptcy costs: PLN 118,566.88 with asset value of PLN 45,333.33).
